From the investment licence to operating: the correct order of steps, and the documents to prepare in your home country first.
What delays foreign investors most isn't procedural complexity, but executing steps in the wrong order or arriving with unattested documents. Here is the practical sequence.
Before anything — prepare documents in your home country. The parent company's commercial register, audited financial statements, the board resolution to invest, and the power of attorney. These need attestation by the competent authorities in your country and then by the accredited Saudi body. Attestation takes time, and arriving with an unattested document means starting over.
Step one — verify activity eligibility. Not all activities are open to full foreign ownership, and some carry additional requirements or set ownership percentages. Checking this before spending any fees saves you an entire path that may lead nowhere.
Step two — the investment licence from the Ministry of Investment. This licence is a prerequisite for everything after it. You cannot issue a commercial register for a foreign investment entity before obtaining it.
Step three — formation contract and commercial register. After the licence, the formation contract is drafted and notarised, then the commercial register is issued and the entity joins the chamber of commerce.
Step four — opening files. GOSI, the labour file, Zakat and tax, the municipality if the activity requires it, and the national address. These files are necessary before your first hire and first invoice.
Step five — the general manager visa and the bank account. The general manager needs a valid residency to open the company's bank account at most banks, so sequence these two steps in that order.
A final note: the licence isn't the end of the path but the start of an obligation. It carries annual renewal and reporting requirements, and neglecting them can suspend the licence after you've already spent on obtaining it.
